1. Accepting These Terms
This document (the "Terms") is a legally binding agreement between you and Mindzai Productions Inc. ("Tanoooki," "we," "us"), a company based in Ontario, Canada.
These Terms cover your use of tanoooki.com, our mobile apps, and any other services we offer (together, the "Services"). By creating an account or using the Services in any way — including just browsing — you agree to these Terms. If you don't agree, please don't use the Services.
On Tanoooki, there's one type of account. Anyone can browse and buy; anyone can also list items for sale once they complete seller onboarding. These Terms apply to everyone. Where a rule applies specifically to buying or specifically to selling, it's covered in our Buyer Terms or Seller Terms.
2. How These Policies Fit Together
Using Tanoooki means you're agreeing to:
- These Terms of Use — the rules for everyone.
- Buyer Terms — apply whenever you purchase something.
- Seller Terms — apply once you list an item for sale.
- Privacy Policy — how we collect, use, and protect your information.
- Prohibited Items Policy — what can't be listed on Tanoooki (counterfeits, bootlegs, unauthorized reproductions, and other restricted items).
- Cookie Policy - how we use cookies when you visit our web and mobile apps
All of these together make up your agreement with us.
3. Your Privacy
Our Privacy Policy explains what information we collect (like your name, email, shipping address, and payment details processed through Stripe) and how we use it. By using the Services, you agree we can handle your information as described there.
4. Your Account
A. Age requirement. You must be at least 18 years old to create a Tanoooki account. Users aged 13–17 need a parent or guardian's permission, and the parent or guardian is responsible. The parent or guardian is responsible to contact Tanoooki to provide authorization. Email us at hello @ tanoooki.com
B. Be honest. Provide accurate information. Don't impersonate someone else or create an account for someone who hasn't agreed to these Terms.
C. Choose an appropriate username. During onboarding, you'll choose a username to represent you publicly — your full legal name isn't shown to other users. Your username may not use language that is offensive, vulgar, infringes someone's intellectual property rights, or otherwise violates the Terms.
D. You're responsible for your account. You're responsible for all activity under your account, including anything a person you've shared access with does, including but not limited to all product listing information. Keep your password secure.
E. Protect your password. As we mentioned above, you're solely responsible for any activity on your account, so it's important to keep your account password secure.
F. No special relationship. These Terms don't create a partnership, joint venture, employment, or agency relationship between you and Tanoooki.
G. One account per person, unless we've given you written permission otherwise (for example, a business account with multiple authorized users).
5. Your Content
"Your Content" means anything you post through the Services — listing photos, descriptions, your shop name, profile info, reviews, messages, and so on.
A. It's still yours. We don't claim ownership of Your Content. You're responsible for it, and you confirm you have the rights to post it and aren't infringing anyone else's rights.
B. The license you grant us. By posting Your Content, you give Tanoooki a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute it — for example, to show your listing in search results, feature it on the homepage, or resize it for our mobile app. This includes the right for Tanoooki and our affiliates to use product data (including images, titles, descriptions and your username) in our own marketing and promotional content, including social media, user-generated content campaigns, the internet, television, and other entertainment platforms. This license continues even after an item sells out, a listing is removed, or you close your account, so that Tanoooki can maintain historical listing records, past-sale price data, and search results across the marketplace.
C. Reporting infringing content. If something posted on Tanoooki contains content infringement, use the form found on the product page to submit the infringing item(s) and we'll review reports and may remove content or suspend repeat infringers. Users who repeatedly post infringing content will have their account suspended or terminated.
D. Content we don't allow. You agree not to post content that's abusive, threatening, defamatory, obscene, or otherwise violates our Prohibited Items Policy or these Terms, or that's false or misleading. Given the collectibles space, this includes misrepresenting an item's authenticity, condition, or origin.
E. Content moderation. We have the right, but not the obligation, to review, remove, or refuse to display any content at our discretion, including before or after it's posted. We don't pre-screen all content posted to the Services, and we're not responsible for content we haven't reviewed.
F. No endorsement. Listings, descriptions, reviews, ratings, and other user-posted content reflect the views and statements of the user who posted them, not Tanoooki. We don't verify or vouch for the accuracy of user-posted content, including a seller's description of an item's condition or authenticity.
G. Copyright takedown process. If you believe content on Tanoooki infringes your copyright, submit a notice using the form referenced in Section C, including (1) identification of the copyrighted work, (2) identification of the allegedly infringing material and its location, (3) your contact information, and (4) a statement that you have a good-faith belief the use isn't authorized and that your notice is accurate. We may remove or disable access to the reported content and will attempt to notify the affected user. If that user submits a valid counter-notice disputing the claim, we may restore the content unless we receive notice that the rights holder has filed a court action. Canadian law follows a "notice-and-notice" regime rather than the US DMCA takedown process; where a Canadian user's rights are at issue, this process may differ and a lawyer should confirm the correct approach applies.
6. Using the Services
A. Follow the law. You're responsible for complying with laws that apply to you, including anything related to importing/exporting toys and collectibles across the Canada–US border and any other international shipments, and any product safety or age-labeling requirements. You may not sell prohibited items — see our Prohibited Items Policy.
B. Pay what you owe. You're responsible for any fees, commissions, and taxes tied to your use of the Services. Fees and commission structure are described in the Seller Terms. You're responsible for your own tax obligations related to items you buy or sell, to whatever country is deemed necessary, unless we tell you otherwise in writing.
Where applicable, Tanoooki will calculate, collect, and remit value-added tax or VAT and sales tax. Some countries may refer to VAT using other terms, e.g. Goods and Services Tax (GST), but we'll just refer to VAT, GST, and any local sales taxes collectively as "VAT." Please see our FAQ and our Fees & Payments Policy for more information on taxes, including details on the taxes Tanoooki collects and remits from buyers. Your fees, bills, taxes, and how you can pay them are fully explained in our Fees & Payments Policy.
C. Don't scrape or reverse-engineer. No crawling, scraping, or attempting to extract Tanoooki's source code or seller data without our permission.
D. Don't attack our systems. No malware, denial-of-service attempts, or other disruption of the Services.
E. Respect our trademarks. "Tanoooki" and our logos are our trademarks. Contact us before using them.
F. Ideas you share with us. If you send us suggestions or feedback, we can use them freely without owing you anything for it.
G. Electronic communication. You agree we can send you legally required notices electronically (email, in-app) instead of on paper.
7. Buying and Selling
Tanoooki is a marketplace, not the seller. Items are listed and sold by independent sellers. We provide the platform, process payment, and arrange shipping labels. The seller — not Tanoooki — is the seller of record for the item, and is responsible for its description, condition, and dispatch.
When an order is made. A listing is an invitation to buy, not an offer. Your order is placed when payment is authorised. Until then, nothing is reserved beyond the short hold described below.
Reserving stock during checkout. When you begin checkout we hold the items for a few minutes so they can't be sold to someone else while you pay. A hold is not a purchase and expires automatically if payment isn't completed.
Carts with more than one seller. A cart spanning several sellers becomes a separate order for each, each paid for separately. One order may succeed while another fails.
Prices and currency. Items are priced in the seller's currency. If yours differs, we show a converted price using an exchange rate refreshed periodically. The amount finally charged is set by our payment provider at the time of payment and may differ slightly from the converted price displayed. Your bank may also apply its own conversion or fees.
8. Fees
Buyers pay no Tanoooki fee. You pay the item price and shipping. We do not add a platform fee to your order.
Sellers pay a commission on each completed sale, deducted from the payout rather than billed separately. It is 15% on the FREE plan and 11% on PRO. The rate that applies is the one in effect when the order is placed, and is fixed for that order even if rates change later.
Shipping charges are quoted at checkout for the service selected and cover the carriage we arrange on the seller's behalf.
PRO is an optional paid subscription. It is an account subscription, not a requirement to sell, and its price and any trial are shown before you subscribe. It renews until cancelled.
9. Payment, Escrow and Payouts
We hold the money until delivery. When a buyer pays, funds are held by Tanoooki rather than passed straight to the seller.
Release. Funds are released to the seller two business days after delivery is confirmed, less commission and anything the seller owes us. An open dispute suspends release until the dispute is resolved.
Chargebacks are the seller's responsibility. If a buyer's card issuer reverses a payment on an order, the seller bears the amount, along with any fee the payment provider charges us for it. We recover it by deducting from the seller's next payouts, and by charging the payment method on file for anything those payouts do not cover. This applies whether or not funds have already been released.
Negative balances. Where amounts owed to us exceed pending payouts, the seller remains liable for the difference, and we may suspend listing or selling until it is settled.
10. Shipping and Delivery
Sellers ship. Sellers must dispatch promptly after an order is placed, using the service the buyer paid for or better, and provide tracking where the service supports it.
Upgrades are at the seller's cost. A seller may ship by a faster or more expensive service than the buyer selected. Where they do, the seller pays the difference. We deduct it from the payout for that order, and where the payout doesn't cover it, from subsequent payouts or the payment method on file. Tanoooki does not absorb shipping upgrades.
Customs and duties on international orders. Some services quote a price that includes duties and taxes; others don't, and the buyer pays them on delivery. Which applies is shown with the shipping option at checkout. Where duties are not included, the buyer is responsible for them, and unpaid duties resulting in a returned parcel are treated as a buyer-initiated return.
Lost or damaged in transit. Where a parcel is lost or damaged by the carrier, the seller is responsible and should make the claim with the carrier. Where shipping insurance has been purchased for a shipment, a claim under that insurance takes precedence and the seller's liability is limited to the extent the claim is met.
11. Returns and Cancellations
Each seller sets a return policy — no returns, 14 days, or 30 days — shown on the listing before you buy. That policy binds the seller for that sale. Where no policy is shown, no returns are offered.
Returns under a seller's policy. The buyer contacts the seller through Tanoooki within the stated window. The seller is responsible for providing a return label or clear return instructions. Unless the item was wrong, faulty or not as described, return shipping is the buyer's cost, and the item must be returned in the condition it was received.
Refunds are issued to the original payment method once the return is received, or once we resolve a claim under Section 12.
Cancellations. A buyer may request cancellation before dispatch. After dispatch, the seller's return policy applies.
This does not affect statutory rights. Where local consumer law gives you rights beyond a seller's stated policy, those rights apply.
12. Tanoooki Buyer Protection
What it covers. If what you receive isn't what you ordered, you're covered. That means:
- A different item from the one listed.
- A counterfeit or replica sold as genuine.
- An item damaged or broken on arrival, where the damage wasn't disclosed in the listing.
- An item that never arrives because the seller didn't dispatch it.
What it doesn't cover. Changing your mind; a flaw the listing described; ordinary wear on an item sold as used; a parcel delivered to the address you provided; or delays outside the seller's control.
How to claim. The buyer opens a dispute on the order through Tanoooki. The seller then has seven days to respond. If they don't, we decide without them.
What we'll do. Where a claim succeeds we refund the buyer — reversing the payment, recovering funds already released to the seller, or charging the seller — and may issue a warning, restrict selling, or close the account for repeated or deliberate breaches.
Our decision is final. We review what both sides provide and decide. That decision is final and binding on the buyer and the seller, and we may act on it including by moving funds. It does not remove any right you have to bring a claim under Section 17.
13. Disputes Between Buyers and Sellers
Either party may open a dispute about an order — a buyer under Buyer Protection, a seller over a return, a claim they consider unfounded, or non-payment.
How it works. The party who opens it explains the problem and may attach evidence. The other side has seven days to respond and do the same. Ignoring a dispute is not a defence: we decide against a party who doesn't respond in time, and it may affect their standing on Tanoooki.
We decide, and the decision is final. We may refund the buyer in whole or part, release funds to the seller, reverse a payout, or take no action. The decision binds both parties.
This is separate from Section 17. Section 17 governs disputes between you and Tanoooki, including arbitration. This section governs disputes between users about an order, and nothing here limits your rights under Section 17.
14. Termination
By you. You can close your account anytime from account settings. Content you posted before closing may remain visible if it's tied to a completed transaction (e.g., order history for the other party). Outstanding fees are still owed.
By us. We may suspend or terminate your account if we believe you've violated these Terms, the Prohibited Items Policy, or applicable law. We'll generally notify you unless we're legally restricted from doing so or you've repeatedly violated our policies.
Discontinuing the Services. We may change, suspend, or discontinue any part of the Services at any time. We're not liable for the effect this has on your income or ability to sell through Tanoooki.
Survival. Sections that by their nature should continue (like Warranties, Indemnification, and Arbitration) survive account closure.
15. Warranties and Limitation of Liability
Items bought and sold. Most items listed on Tanoooki are listed and sold directly by independent sellers. For those items, Tanoooki doesn't manufacture, inspect, authenticate, or store the item, makes no warranties about its quality, authenticity, safety, or legality, and any claim about a specific item belongs with the seller, not Tanoooki. From time to time, Tanoooki may also list and sell its own merchandise directly; where a listing is clearly identified as sold by Tanoooki, this warranty disclaimer does not apply to that item, and any applicable consumer protections for goods sold directly by us will apply instead. You release Tanoooki from claims related to items purchased from third-party sellers, including defective, misdescribed, or counterfeit items.
Interactions with other users. We don't screen users beyond what's legally required. Tanoooki is not responsible for your interactions with other users.
Third-party services. Our Services rely on third parties (e.g., Stripe for payments, shipping carriers). We're not responsible for their acts or failures, though we'll try to help resolve issues where we reasonably can.
AI and identification tools. Tanoooki provides AI-assisted tools to help identify items and surface market pricing data (for example, product scans and price lookups). These tools are provided for convenience only, may be inaccurate or out of date, and shouldn't be relied on as the sole basis for a buying, selling, or pricing decision. Tanoooki is not liable for losses arising from inaccurate identification or pricing information provided by these tools.
AS-IS DISCLAIMER. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T GUARANTEE THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANOOOKI'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) CAD $100, OR (B) THE FEES YOU PAID TO TANOOOKI IN THE 12 MONTHS BEFORE THE CLAIM AROSE. WE ARE NOT LIABLE FOR LOST PROFITS OR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES. SOME JURISDICTIONS DON'T ALLOW THESE LIMITATIONS, SO SOME OF THIS MAY NOT APPLY TO YOU.
16. Indemnification
If a claim, lawsuit, or demand arises against us because of something you did (or failed to do) — including your use of the Services, items you bought or sold, or your violation of these Terms or the law — you agree to defend and reimburse us (including reasonable legal fees) for losses arising from it.
17. Arbitration and Dispute Resolution
A. Let's try to work it out first. If you have a dispute with Tanoooki, contact us at legal@tanoooki.com first. We'll try in good faith to resolve it informally within 30 days.
B. Arbitration. If we can't resolve it informally, you and Tanoooki agree to resolve the dispute through binding, individual arbitration rather than in court, except that either of us may bring an individual claim in small claims court, and either of us may seek injunctive relief in court for intellectual property infringement.
C. Individual basis only. Claims must be brought individually, not as part of a class or representative action.
D. Process. Arbitration will be conducted by a single arbitrator under the rules of the ADR Institute of Ontario, in English, in Toronto, Ontario, or by videoconference if both parties agree. Each party bears its own costs unless the arbitrator's rules or applicable law say otherwise.
E. Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. If you're a resident of Quebec, applicable mandatory Quebec consumer protection law will govern instead where required.
18. Changes to These Terms
We may update these Terms from time to time. If changes are material, we'll notify you by email or in-app notice before they take effect. Continuing to use the Services after that means you accept the changes. If you don't agree, you can close your account.
19. General Legal Terms
These Terms, together with the policies referenced in Section 2, are the entire agreement between you and Tanoooki regarding the Services. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a term isn't a waiver of our right to do so later.
